Terms of Service

These Terms of Service ("Terms") govern your access to and use of ValoraVault ("Service"), operated by ValoraVault LLC ("we," "us," or "our"). ValoraVault is a document organization and sharing tool. It is not a legal, tax, financial, or professional advisory service.

1. The Service

ValoraVault provides a secure, cloud-based document vault that allows users to organize, store, link, and share documents. The Service is intended for personal and professional organizational use only.

ValoraVault is not a backup service. You are solely responsible for maintaining independent copies of all documents you store or link within the Service. We are not liable for any data loss, corruption, or unavailability of stored files.

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

2. Accounts and Eligibility

You must be at least 18 years of age to use ValoraVault. By creating an account, you represent that all information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at team@valoravault.com if you suspect any unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscriptions and Billing

ValoraVault is a paid subscription service. By starting a free trial or subscribing, you authorize us to charge your payment method on a recurring monthly basis at the applicable rate.

Your free trial begins on the date you complete checkout. At the end of the trial period, your payment method will be charged automatically unless you cancel before the trial ends.

Founding Member pricing is available to the first 100 subscribers at the rate in effect at the time of their subscription. Pricing is subject to change with 30 days notice for all subscribers.

All sales are final. ValoraVault does not issue refunds for partial billing periods or unused subscription time. If you cancel, your access continues through the end of the current billing period.

Additional wallets beyond your plan's included limit are billed at $10.00 per wallet per month, prorated and added to your existing subscription.

4. Cancellation

You may cancel your subscription at any time from your Account Settings page. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

To cancel, sign in and navigate to Settings > Cancel Subscription. If you experience any issues, contact us at team@valoravault.com.

5. Storage and Data

Each account includes up to 500 MB of file storage. Files uploaded beyond this limit will be rejected. Linked files (via iCloud, Google Drive, Dropbox, or similar services) do not count toward your storage limit.

You retain ownership of all content you upload or link within ValoraVault. By using the Service, you grant us a limited license to store and transmit your content solely for the purpose of providing the Service to you.

We do not sell, share, or use your content for any purpose beyond operating the Service.

6. Acceptable Use

You agree not to use ValoraVault to store, share, or transmit any content that is unlawful, harmful, fraudulent, or violates the rights of any third party. You agree not to attempt to reverse engineer, hack, or interfere with the Service or its infrastructure.

We reserve the right to remove any content and suspend any account that we determine, in our sole discretion, violates these Terms or applicable law.

7. Disclaimer of Warranties

ValoraVault is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities.

ValoraVault is not a legal, tax, financial, or professional advisory service. Nothing within the Service constitutes professional advice of any kind. You are solely responsible for the use and interpretation of documents stored within your vault.

8. Limitation of Liability

To the fullest extent permitted by law, ValoraVault LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to data loss, missed deadlines, or financial loss.

You are solely responsible for any deadlines, renewals, expirations, or obligations associated with documents stored in your vault. ValoraVault's calendar and notification features are organizational tools only. ValoraVault assumes no liability for missed deadlines or notifications.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless ValoraVault LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Pinellas County, Florida.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
